1.Definitions
- "Propositio" refers to 9to5 BV (KvK number: 90662180), trading as Propositio, located at Van Ittersumstraat 150, 8012TN Zwolle, Netherlands, the legal entity operating the platform.
- "User" means any natural or legal person who creates an account or interacts with the platform.
- "Service" means the proposal software, APIs, AI functionality and related support offered by Propositio.
- "Agreement" is formed when a User registers and accepts these Terms of Service.
2.Applicability
- These terms apply to every use of the Service.
- Departures from these terms are only valid if agreed in writing.
- If a provision is invalid or unenforceable, the remaining provisions remain in effect.
3.Using the Service
- Users receive a non-exclusive and non-transferable license to use the Service for business purposes.
- Users may not resell, sublicense, or otherwise make the Service available to third parties without permission.
- Users provide accurate account information and safeguard login credentials.
- Users upload only content they are authorized to use and that does not infringe the rights of others.
4.Sensitive information
- The Service can contain confidential business information, personal data, and pricing details.
- Users are responsible for the information they input and must inform their own clients how data is processed.
- Propositio implements technical and organizational safeguards but cannot guarantee absolute security.
5.AI functionality
- AI output may be incorrect, incomplete, or biased. Users review and approve AI-generated content before sharing.
- Users avoid submitting unnecessary special category personal data in prompts and ensure lawful processing.
6.Subscription and payment
- If the Service (or part of it) is paid, the published subscription fees apply. Amounts are exclusive of VAT unless stated otherwise.
- Propositio may adjust pricing with at least 30 days' notice. Customers on an original price keep it for as long as their subscription stays active on the same plan.
- Cancellation is possible at any time; already paid terms are non-refundable unless required by law.
7.Liability
- Propositio is only liable for direct damages caused by an attributable failure. Total liability is limited to the fees paid in the last six months (capped at €1,000).
- Indirect damages, including consequential loss, loss of profit, and data loss, are excluded.
- Claims must be reported in writing within 30 days after discovery.
8.Suspension and termination
- Propositio may suspend or terminate accounts in case of misuse, non-payment, or breach of these terms.
- Users may terminate via the account settings. Propositio may keep data to fulfil legal obligations or its backup policy.
9.Intellectual property
- All IP rights in the Service, documentation and AI models are owned by Propositio or its licensors.
- Users retain ownership of uploaded data and generated proposals.
10.Support and availability
- Propositio strives for high availability but provides no absolute uptime guarantee. Maintenance may occur during working hours or urgently.
- Incidents can be reported via support@proposit.io. Critical incidents are addressed within 24 hours.
11.Changes
- Propositio may amend these terms. Users are notified at least 30 days prior to changes.
- If changes are material, Users may terminate the Agreement effective on the change date.
12.Governing law
- These terms are governed by Dutch law.
- Disputes are submitted to the competent court in Amsterdam, unless mandatory law dictates otherwise.
